Overview
The current economic climate has thrown into sharp focus the issues that remuneration committees face when balancing the needs of the company, executive directors and shareholders.
This workshop will focus on practical advice to deal with the following issues:
- On what basis can a company increase salaries in the current environment?
- How does the remuneration committee set bonus targets for next year given a potential change in the fortunes of the business?
- What disclosure and information are required by shareholders for bonus payments in respect of 2008 and 2009?
- How does the remuneration committee deal with setting new performance conditions for future share incentive awards?
- What does the remuneration committee do about underwater options and/or share awards where the current performance conditions seem impractical?
- How much disclosure is required in the company's remuneration committee report?
- What should be done if the company is red-topped by the ABI?
